Wherever possible, we offer flat fee pricing so that businesses can better predict their legal costs. The services we offer on a flat fee basis range from forming your business, keeping it legal during its lifetime, to winding it down.

LLC Formation – $200.00
Formalizing your LLC is one of the first steps when forming your business. Using an attorney to complete the LLC formation process ensures that it is done correctly by someone who understands your business and business needs. This service includes legal advice on whether an LLC is right for your business, conducting a business name search in Ohio, and preparation and filing of the Articles of Incorporation with the Ohio Secretary of State. Filing fees are included.
LLC Operating Agreement – $800.00
The Operating Agreement is the governing document of your business. It explains how the business operates, how members are added, and formalizes your limited personal liability. This service includes counsel on how your business will operate as well as the terms necessary to include in your operating agreement.
LLC Formation Bundle – $900.00
This full-service bundle includes all of the services listed for both LLC Formation and LLC Operating Agreement, as well as obtaining a federal employer identification number through the IRS, and applying for a vendor’s license if you are selling products in Ohio.
Incorporation – $200.00
Filing your formal incorporation documents with the Ohio Secretary of State is the first step to start your corporation. Utilizing an attorney to complete the incorporation process ensures that it is done correctly and by someone who understands your business needs. This service includes legal advice on whether the corporate form is right for your business, conducting a business name search in Ohio, and preparation and filing the Articles of Incorporation with the Ohio Secretary of State. Filing fees are included.
Corporate By-Laws – $900.00
Corporate by-laws provide the internal rules of your Company. These rules guide how your business operates so that shareholders, employees, and executives are all on the same page. This service includes counsel on how your corporation will operate and the internal rules necessary to ensure effective and efficient functioning.
Incorporation Bundle – $1,000.00
This full-service bundle includes all of the services listed for both Incorporation and Corporate By-Laws as well as obtaining your federal employer identification number through the IRS, and applying for a vendor’s license if you are selling products in Ohio.
Statutory Agent Service – $200.00/yr
Having your lawyer serve as statutory agent for your Company puts the lawyer immediately on notice if any legal action is taken against your Company. The designation of statutory agent is formalized through a filing with the Secretary of State. Filing fees included.
Legal Review of Employer Drug Policy – $500.00
Reimbursable by the Ohio Bureau of Workers Compensation’s Substance Use Recovery and Workplace Safety Program (SURWSP), so the cost to your company is zero. Make sure that your drug free workplace policy protects your company while still complying with Ohio’s marijuana laws.
Employer Drug Policy Development with legal review – $2,500.00
Reimbursable by the Ohio Bureau of Workers Compensation’s Substance Use Recovery and Workplace Safety Program (SURWSP), so the cost to your company is zero. Preparation of initial drug free workplace policy in compliance with Ohio law.
Employee Handbook – $1,850.00
An employee handbook simplifies the process of explaining expectations for your business and its employees. It includes policies and procedures related to onboarding, code of conduct, office expectations, communication policies, compensation and performance review, and benefits.
This service includes legal review and counseling of the most central policies and procedures of your business. Preparation of the handbook by an experienced attorney can limit your company’s liability and ensure that employee and company expectations are clearly communicated.
Small Business Check-Up – $400.00
A small business check-up is a legal examination of your business. By conducting a small business check-up, you can identify areas of weakness or concern in your business and protect your company’s success and bottom line.
This service includes checking that your business status with the Ohio Secretary of State is correct, ensuring no other company is using your business name, a governing documents check, reviewing all business licenses, permits, and leases to ensure that they are up-to-date, a government regulation compliance check, a lawsuit check, and addressing up to one other area of concern.
Amend Articles of Incorporation – $200.00
Businesses change and grow throughout the years. Amendments to the articles of incorporation are necessary to ensure your formal business documents reflect those changes. Includes filing fees.
Corporate Resolutions – $250.00
Formalizing corporate action is just as important as taking action. Corporate resolutions are written documents that reflect binding actions taken by the Board of Directors of a Company.
This service includes preparation of corporate resolution documents to accurately reflect actions taken by your Board.
Non-Disclosure Agreement (“NDA”) – $600.00
Confidentiality of information can be paramount for entrepreneurs. A Non-Disclosure Agreement is necessary to ensure that proprietary information is kept confidential. This service includes guidance from an attorney to ensure your information is kept confidential and preparation of the NDA.
Non-Compete Agreement – $750.00
A Non-Compete Agreement can be central to preventing competition with your business by a former employee. Preparation of a non-compete by an attorney ensures that your businesses needs are met and that your agreement is enforceable.
Standard Contract Review – $500.00
Before signing on the dotted line, it is important to know what contract terms you are agreeing to. Attorney review of contracts ensures that you know what it is you are signing.
Complex Contract Review – $1,000.00
Complex contracts can be filled with legal jargon, confusing, and intimidating. Review of these contracts by an experienced attorney ensures that you know what you are agreeing to.
Consensual Business Dissolution Agreement – $800.00
As members of a business decide that it has reached the end of its life cycle, an Agreement outlining the terms of that dissolution is important. This service includes counseling regarding the dissolution of your business, and preparation of the Agreement detailing how your business will be dissolved.
Sale of Membership Interest Agreement – $1,000.00
If you have decided to sell your interest in a Company, counsel from an experienced attorney can ensure that your interest is sold in a manner that limits your liability and accomplishes your goals. This Agreement will outline the terms of the sale of your interest and transfer your membership interest in the Company to another.
LLC Certificate of Dissolution – $200.00
Filing the LLC Certificate of Dissolution formally dissolves your company with the Ohio Secretary of State. Filing fees included.
Small Business Bankruptcy Reorganization Consultation – $350.00
This service is too complex for flat fee pricing. However, we offer one-hour consultations to decide if bankruptcy reorganization or another option is right for your business.
